1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Unity Dispatch LLC ("Company," "we," "us," or "our"), the operator of the Agency Labz reputation management platform ("Service"). By accessing or using the Service, you agree to be bound by these Terms.
If you are using the Service on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.

3. Description of Service
Agency Labz is a cloud-based reputation management platform that enables businesses to:
- Send automated review requests to customers via email, SMS, and WhatsApp
- Filter customer feedback based on star rating (directing high ratings to public review platforms and low ratings to private feedback)
- Manage and monitor their online reputation through a centralized dashboard
- Collect and review private customer feedback
The Service is provided on an "as is" and "as available" basis. We reserve the right to modify, suspend, or discontinue the Service at any time with reasonable notice.
4. Account Registration
To use the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security of your password
- Notify us immediately of any unauthorized access to your account
- Accept responsibility for all activities under your account
We reserve the right to terminate accounts that violate these Terms or that have been inactive for more than 12 consecutive months.
5. Acceptable Use Policy
You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations. You must NOT use the Service to:
- Send unsolicited messages (spam) to individuals who have not consented to receive communications from you
- Send review requests to fake or fabricated customers
- Solicit, incentivize, or facilitate fake reviews in violation of Google's, Yelp's, or any other platform's policies
- Harass, threaten, or intimidate any person
- Impersonate any person or entity
- Violate any third party's intellectual property rights
- Transmit malware, viruses, or malicious code
- Attempt to gain unauthorized access to our systems or other users' accounts
- Use the Service in any manner that could disable, overburden, or impair the platform
- Resell or sublicense the Service without written authorization from us
6. Client Responsibility for Customer Consent
This section is critically important. You are solely responsible for ensuring that you have obtained all necessary legal consents and permissions before using our Service to contact your customers.
6.1 SMS Consent (TCPA Compliance)
Before sending SMS review requests through our platform, you must:
- Obtain prior express written consent from each recipient as required by the Telephone Consumer Protection Act (TCPA)
- Maintain records of such consents
- Honor all opt-out requests immediately (STOP keyword and other standard opt-out methods)
- Ensure your SMS use complies with CTIA (Cellular Telecommunications Industry Association) Messaging Principles and Best Practices
- Not send SMS messages to individuals on the National Do Not Call Registry unless you have a specific exemption
6.2 Email Consent (CAN-SPAM Compliance)
Before sending email review requests through our platform, you must:
- Ensure recipients are your actual customers with whom you have an existing business relationship
- Comply with the CAN-SPAM Act, including honoring unsubscribe requests within 10 business days
- Include your physical mailing address in email communications as required by law
- Not use deceptive subject lines or sender information
6.3 All SMS Messages Include Opt-Out Instructions
All SMS messages sent through our platform automatically include opt-out instructions (e.g., "Reply STOP to unsubscribe"). We automatically process STOP requests and will not send further messages to opted-out numbers. You may not override or disable this feature.
6.4 Indemnification for Consent Violations
You agree to indemnify and hold harmless Unity Dispatch LLC from any claims, fines, penalties, or damages arising from your failure to obtain proper consent from message recipients.
7. Review Platform Compliance
You agree to use the Service in compliance with the Terms of Service of Google, Yelp, Facebook, and any other review platform you direct customers to. Specifically, you must not:
- Offer compensation or incentives in exchange for positive reviews
- Ask employees, friends, or family to leave reviews as customers
- Create or facilitate fake reviews
The smart filtering feature (directing low-rated customers to private feedback) is designed to help you address issues proactively, not to suppress legitimate negative reviews from customers who wish to share their experience publicly.
8. Payment Terms
8.1 Subscription Fees
The Service is offered on a monthly subscription basis:
- Starter Plan: $100.00 USD per month (1 business location)
- Growth Plan: $200.00 USD per month (up to 3 business locations)
Prices are in US dollars and do not include applicable taxes. We reserve the right to change pricing with 30 days' written notice to existing subscribers.
8.2 Billing
Subscriptions are billed monthly in advance. Your payment method will be charged on the same calendar day each month as your initial subscription date. If that day does not exist in a given month (e.g., the 31st), billing will occur on the last day of that month.
8.3 Payment Processing
Payments are processed by Stripe, Inc. By subscribing, you authorize us to charge your payment method for the applicable subscription fee each billing period. You must maintain a valid payment method on file.
8.4 Failed Payments
If a payment fails, we will attempt to retry the charge. If payment remains outstanding after 7 days, access to the Service may be suspended until payment is resolved.
9. Cancellation and Refunds
9.1 Cancellation
You may cancel your subscription at any time by logging into your account dashboard and selecting "Cancel Subscription," or by emailing support@agencylabz.online. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until the end of the period for which you have paid.
9.2 No Refunds for Partial Months
We do not issue refunds or credits for partial subscription periods. If you cancel mid-month, you will continue to have access through the end of the billing period but will not receive a refund for unused days.
9.3 Exceptions
We may issue refunds at our sole discretion in cases of demonstrable Service failure on our part. Refund requests must be submitted within 7 days of the billing date.
10. Intellectual Property
All content, features, and functionality of the Service — including software, text, graphics, logos, and trademarks — are owned by Unity Dispatch LLC or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any portion of the Service without our express written permission.
You retain ownership of all data you upload to the Service, including your customers' information. You grant us a limited license to process this data solely to provide the Service.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL UNITY DISPATCH LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM:
- Your use of or inability to use the Service
- Any unauthorized access to or alteration of your data
- Any third-party conduct or content on the Service
- Any reviews posted or not posted on third-party platforms
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 3 MONTHS PRECEDING THE CLAIM.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
We do not guarantee any specific results from using the Service, including a specific number of reviews, improvement in ratings, or increased business revenue.
13. Indemnification
You agree to defend, indemnify, and hold harmless Unity Dispatch LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service in violation of these Terms
- Your violation of any applicable law or regulation, including TCPA, CAN-SPAM, and CTIA guidelines
- Your failure to obtain required consents before sending messages
- Any content you provide or transmit through the Service
- Your infringement of any third party's rights
14. Privacy
Your use of the Service is also governed by our Privacy Policy, available at agencylabz.online/privacy, which is incorporated into these Terms by reference.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Travis County, Texas. You consent to personal jurisdiction in such courts.
Before initiating any legal proceeding, you agree to contact us at legal@agencylabz.online to attempt to resolve the dispute informally for at least 30 days.
16. Changes to These Terms
We reserve the right to modify these Terms at any time. We will provide at least 14 days' notice of material changes by email or by posting a notice on the Service. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms. If you do not agree to the changes, you must cancel your subscription before the effective date.
17. Termination
We reserve the right to suspend or terminate your account immediately and without notice if we determine, in our sole discretion, that you have violated these Terms, engaged in fraudulent activity, or pose a risk to the platform or other users. Upon termination, your right to use the Service ceases immediately.
18. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Unity Dispatch LLC regarding the Service and supersede all prior agreements or understandings.
